Affiliate Program Terms

Terms of use and Privacy Policy

Terms of use and Privacy Policy

These general terms cover commissions, promotion rules and use of Pillow materials. They are not an individual sponsorship or content-production agreement.

1. About the program

1.1 Operator. The program is operated by Neybox Digital Ltd, a company registered in the Republic of Cyprus, trading as Pillow ("Pillow", "we", "us"). "You" means the individual or entity applying to or participating in the program.

1.2 Platform. WinWinKit manages applications, referral codes, attribution and payments. Its platform and payment-provider terms apply separately and do not replace these Pillow program terms.

1.3 Participation. By submitting an application or accepting an invitation that refers to these terms, or participating after these terms have been made available to you, you agree to them. Approval is at our discretion. An application, a conversation with us or receipt of this document is not approval. Do not promote Pillow as an affiliate until we confirm your approval.

1.4 Eligibility. You must be at least 18, be authorised to participate, and keep your application, contact and payment details accurate. You are an independent contractor, not our employee, agent or representative.

2. Commission and attribution

2.1 Rate. The standard commission is 30% of gross subscription revenuefrom qualifying referrals. Gross revenue means the amount the referred user actually pays for a Pillow subscription, before deductions by Apple, payment processors or other intermediaries. Refunds, chargebacks and fraudulent transactions do not qualify.

2.2 Commission period. The commission period is 12 months from each qualifying referred user's first successful claim of your code. Each referred user has their own 12-month window; a later referral does not extend an earlier user's window. No commission is earned after that user's window ends. Termination and non-compliance are subject to sections 9 and 10.

2.3 Qualifying referrals. A qualifying referral is a new user who claims your assigned affiliate code through Pillow's supported redemption flow and makes an eligible paid subscription purchase within the commission period. A code claim, install or free trial alone does not earn a commission. Initial purchases and renewals qualify only within the applicable commission period.

2.4 Tracking. Attribution is based on a successful affiliate-code claim recorded by WinWinKit. An affiliate link or QR code is a way to share or redeem that code, not a separate attribution method. A click or recommendation without a recorded code claim is not sufficient. Purchases made before the claim do not qualify.

2.5 Records and questions. Check your WinWinKit dashboard for referrals and earnings. Report suspected errors with supporting details. Platform records are the primary reference; we will review your evidence and determine adjustments in good faith.

3. Payments

3.1 Schedule. Commissions are calculated monthly for the preceding calendar month, with a 14-day holding period after month-end for refund and chargeback processing. We initiate eligible payments through WinWinKit after that period. There is no minimum payout threshold. Bank and payment-provider processing times may vary.

3.2 Payment details. Set up and maintain a supported payout method in WinWinKit and complete any identity or tax checks required by the platform or payment provider. Commissions are calculated and paid in US dollars. Any withdrawal conversion or receiving-provider charges are subject to that provider's terms. WinWinKit's platform fee charged to Pillow is not deducted from your commission.

3.3 Refunds and adjustments. Commissions attributable to refunded, charged-back or fraudulent transactions are reversed. Reversals may be deducted from the current or a later payout. If the reversal exceeds the amount available, the balance carries forward until recovered. We may hold disputed amounts while reasonably investigating suspected non-compliance, as described in section 10.

3.4 Failed payments. If a payment cannot be completed because your payment information is incorrect or incomplete, we will make reasonable efforts to notify you. You must resolve the issue within 60 days of that notice. After that period, we may forfeit the affected unclaimed commissions to the extent permitted by applicable law.

3.5 Taxes. You are responsible for reporting your commission income and paying your taxes. We may request tax documentation and make any withholding required by law.

4. Offers for your audience

4.1 Separate from commission. A user-facing discount or other reward is separate from your commission. Only advertise the benefit currently assigned to your code and communicated by Pillow. Eligibility, territory, subscription plan, redemption limits and availability depend on the applicable offer and app-store rules. Receiving a user benefit does not by itself make a purchase commission-eligible.

4.2 Accurate promotion. State any material eligibility, duration and renewal conditions when promoting an offer. Do not promise universal eligibility, a permanent discount or combined offers. Benefits cannot be combined with other promotions unless we expressly allow it. Prices vary by country; use approved percentage-based offer wording and direct users to the price shown in Pillow or the App Store.

4.3 Offer changes. We will give 30 days' notice of material changes to a benefit we control, following section 11. You must keep promotional information current and stop presenting an unavailable or expired offer as available.

5. Use of Pillow materials

5.1 Limited permission. While approved and participating under these terms, you may use your assigned code, related links and the marketing materials we provide to promote Pillow. This permission is non-exclusive, non-transferable and revocable under these terms. Follow our supplied brand guidelines. Do not transfer your code, sublicense materials or alter our trademarks, logos or materials without written permission.

5.2 Ownership. We retain ownership of Pillow and our materials. You retain ownership of your original content. Participation does not give Pillow rights to reuse your content in paid advertising, or create a paid posting, exclusivity or delivery commitment. Those arrangements require separate written terms.

6. Disclosures and truthful content

6.1 Make the relationship clear. Clearly disclose your commercial relationship with Pillow in promotional content. Explain that you earn a commission when people subscribe using your code. Make the disclosure prominent, close to the recommendation and understandable before people engage with it. A profile bio, a hidden caption or a bare "affiliate" label is not a substitute for a clear disclosure.

6.2 Match the format. Use a clear upfront advertising label where required, such as "Ad". For video endorsements, put the disclosure in the video, not only its description; include a spoken disclosure where the endorsement is spoken and a visible disclosure where it is visual. Use platform disclosure tools where required, in addition to any wording needed to make the relationship clear. Follow the laws and advertising rules applicable to your audience.

6.3 Product claims. Keep statements about Pillow accurate and supportable. Do not exaggerate its capabilities, guarantee better sleep, or say it diagnoses, treats or cures ADHD, insomnia, sleep apnoea or another condition. Do not imply clinical validation, medical endorsement or health outcomes unless we have supplied written approval for a specific substantiated statement. Our approval never permits an unlawful claim.

6.4 Real experience. Do not fabricate reviews, testimonials, user stories, credentials or personal results. A statement about your own use of Pillow must reflect actual use. AI-generated people, voices or scenes must not be presented as real customers, clinicians or personal experiences. Follow applicable AI-content and synthetic-media disclosure rules.

6.5 Responsibility and review. You are responsible for the content and channels you use, including content produced on your behalf. We may ask for copies or links to Pillow promotions to check factual accuracy, disclosures and compliance. Where we identify a breach, follow the correction process in section 10. We do not require a minimum number of posts under these standard terms.

7. Prohibited promotion

You must not:

  • Misrepresent Pillow: impersonate us, claim to be our employee or official spokesperson, or register domains, social accounts or advertising accounts using Pillow, Neybox or confusingly similar names.
  • Buy branded search traffic: bid on "Pillow", "Pillow Sleep Tracker", "Neybox" or confusingly similar variants in paid search advertising.
  • Send spam: use unsolicited commercial email or other unlawful bulk messaging to distribute your code or promote Pillow.
  • Manipulate attribution: use bots, fake accounts, click fraud, cookie stuffing, forced code claims or other artificial methods to generate referrals or commissions.
  • Self-refer: use your own affiliate code for personal purchases or create transactions primarily to generate a commission.
  • Offer artificial incentives: pay people to claim a code, condition a prize draw on a code claim, or otherwise incentivise claims without genuine product interest.
  • Use unapproved distribution: post your code on coupon or deal-aggregator sites without written approval, or place codes in App Store reviews or other marketplace review sections.
  • Use harmful or unlawful content: promote Pillow through unlawful, discriminatory, offensive or misleading content, infringe another party's rights, or target promotions to children under 13.

8. Privacy and confidential information

8.1 Personal information. Follow applicable privacy laws. Do not collect credentials, payment details or personal health data on Pillow's behalf. Participation does not authorise access to users' private information.

8.2 Confidential information. Keep non-public information we share with you confidential, including private performance data, individual payout information, unpublished plans and internal correspondence. Do not use it for purposes unrelated to the program. This obligation continues for two years after participation ends.

8.3 Exceptions. Confidentiality does not cover these published terms, publicly advertised rates or offers, or information that is public without a breach, independently developed or lawfully received elsewhere. It does not prevent required advertising disclosures, disclosure required by law, or sharing with professional advisers who are subject to confidentiality obligations.

9. Ending participation

9.1 Duration. Participation begins when we approve your application and you join under these terms. It continues until ended under this section. The commission-earning period in section 2 is separate; continued participation does not automatically extend that period.

9.2 Ordinary termination. Either party may end participation with 30 days' written notice. You may also stop promoting Pillow while a termination notice runs. We do not require further posts as a condition of leaving.

9.3 Termination for cause. We may end participation immediately for a serious or repeated breach, fraud, deliberate misrepresentation, brand bidding, conduct that materially damages Pillow's reputation, or a refund rate exceeding 30% among referred users. For a first non-serious breach, the correction process in section 10 applies.

9.4 After termination. Stop affiliate promotion and use of our materials; remove active affiliate links and offers from channels you control. We may deactivate your code. Commissions already earned on verified, non-fraudulent transactions remain payable, subject to adjustments. Transactions after termination earn no commission unless separately agreed in writing.

10. Corrections and enforcement

10.1 First non-serious breach. We will give written notice describing the issue and seven days to correct it. We may ask you to stop distributing disputed material while it is reviewed. You must remove content that breaches these terms within seven days of our request. Serious or repeated breaches may result in immediate termination under section 9.3.

10.2 Commission consequences. Commissions from fraudulent or non-compliant activity are not payable. We may hold disputed amounts while investigating. For a serious or repeated breach, we may forfeit unpaid commissions attributable to that breach, to the extent permitted by law. We will explain the basis and review evidence you provide. Unrelated, properly earned commissions remain payable.

11. Changes and notification

We will notify existing affiliates by email or WinWinKit at least 30 days before material changes, including rate or benefit changes, take effect. The notice identifies the new version and effective date. Changes do not reduce commissions already earned. Continued participation after the notice period means acceptance. If you disagree, notify us and end participation before the changes take effect. Notification alone does not approve an application.

12. Liability and third-party claims

12.1 No earnings guarantee. We do not promise any level of earnings, conversion rate or continued availability of the program or third-party platform. We are not responsible for untracked referrals caused by a user not claiming your code. This does not remove our obligation to pay commissions properly earned under these terms.

12.2 Liability limits. To the maximum extent permitted by law, we are not liable for indirect, incidental, special, consequential or punitive loss arising from the program. Our aggregate liability is limited to the commissions you earned in the three months immediately before the event giving rise to the claim. Nothing excludes liability that cannot lawfully be excluded or limits payment of commissions properly due.

12.3 Your responsibility for claims. To the extent permitted by law, you agree to indemnify, defend and hold harmless Neybox Digital Ltd and its officers, employees and agents against third-party claims, losses, liabilities, damages and reasonable legal costs arising from your breach of these terms, unlawful promotion or infringement of another party's rights. This does not extend to liability caused by our own breach or unlawful conduct.

12.4 Events outside control. Neither party is responsible for a failure or delay caused by events beyond its reasonable control, including natural disasters, war, government action or third-party service failure. The affected party should take reasonable steps to limit the disruption. A delay does not erase commissions already owed.

13. Governing law and general provisions

13.1 Governing law. These terms are governed by the laws of the Republic of Cyprus, subject to any mandatory rights that applicable law does not allow the parties to exclude.

13.2 Disputes. We will first attempt to resolve disputes through good-faith negotiation. If a dispute is not resolved within 30 days of written notice, either party may submit it to binding arbitration in Nicosia, Cyprus, under the rules of the Cyprus Arbitration and Mediation Centre. Either party may seek urgent injunctive or protective relief from a competent court. Mandatory legal rights remain unaffected.

13.3 Scope and priority. These terms govern the standard affiliate program. A separate written agreement expressly agreed with Pillow takes priority where it conflicts with these terms. The program does not include paid content production, advertising usage rights, exclusivity or other sponsorship services unless separately agreed. Website summaries and notification emails do not amend these terms unless they expressly communicate an authorised change under section 11.

13.4 Other provisions. If a provision is unenforceable, the rest remain effective. Not enforcing a provision on one occasion is not a waiver. You may not assign your participation or rights without our written consent. We may transfer the program and our obligations to a successor business with notice to you. Clauses intended to survive termination, including payment adjustments, intellectual property, confidentiality, liability and dispute resolution, continue to apply.
